Please read these Terms of Service carefully before purchasing our services or using the Redactum website. These Terms of Service (“Terms”) govern the use of all services and digital products provided by Redactum Consulting SRL through our online store and any related engagements.

1. Introduction and Contract Scope

These Terms apply to all purchases and use of services and digital products offered by Redactum Consulting SRL (“Company,” “we,” “us,” “our”), a limited liability company incorporated under the laws of Romania. By placing an order through our online store, downloading a digital product, submitting materials via our intake forms, or otherwise engaging our services, you (“Client,” “you,” “your”) agree to be bound by these Terms and by any policies referenced herein, including our Privacy Policy.

These Terms constitute a legally binding contract and apply to both individuals (physical persons) and legal entities (business clients), and to EU and non-EU customers, unless we expressly agree otherwise in a separate written contract or signed statement that supersedes these Terms for a specific engagement.

Our online store is powered by Shopify Inc. When you use our store, you may also be subject to Shopify’s own Privacy Policy for merchants and Shopify’s Terms of Service  to the extent they apply to platform users. Customers may also review Shopify’s privacy controls.

These Terms govern the relationship between you and Redactum for our services and products. In the event of a conflict regarding Redactum’s services/products, these Terms will apply.

2. Online Store Terms

By using our website and online store and/or placing an order, you confirm that you accept the following conditions:

·      Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase our services or digital products.

·      Lawful use: You agree to use our website and services only for lawful purposes and not to request or use services in a way that violates applicable laws, regulations, third-party rights, institutional policies, or contractual obligations.

·      Account security: If account creation is available, you are responsible for safeguarding access credentials and for activity under your account.

·      Right to refuse service: We reserve the right to refuse service to anyone at any time for legitimate reasons, including suspected misuse, legal risk, breach of these Terms, or compliance concerns.

·      Service/product modifications: We may modify, suspend, or discontinue services, pricing, availability, or descriptions. If you have already paid for a service not yet delivered, we will fulfill it or provide an appropriate remedy under applicable law.

·      Pricing errors: If an obvious pricing error occurs, we may correct it and offer you the option to reconfirm at the correct price or cancel for a refund.

·      Advertising tracking: Our website uses Meta Pixel (Facebook & Instagram Ads) to measure the performance of our advertising campaigns. This tracking technology is activated only after you provide explicit consent via our cookie consent banner, in accordance with our Privacy Policy and applicable GDPR requirements. You may manage your preferences at any time via the Cookie Settings link on our website.

3. Services and Digital Products Description (Digital Delivery)

Redactum Consulting provides professional, research-driven, editorial, and formatting services, and sells certain digital products, which may include, without limitation:

A) Research Synthesis & Strategic Frameworks

Structured research synthesis, multi-source evidence integration, conceptual framework development, executive briefings, and research-informed content grounded in secondary sources.

These deliverables are provided solely as informational and strategic resources and do not constitute primary research, statistical analysis, laboratory work, or regulated professional advice. Clients receive professional, actionable outputs for publications, reports, or organizational initiatives, but deliverables are not intended for student assignments, graded work, or claiming as original authored work.

B) Academic Paper Review & Audit (Technical / Structural / Editorial Audit)

·      Technical formatting audits (citation style compliance and reference consistency),

·      structural/argumentative flow and coherence assessment,

·      clarity and concision recommendations,

·      layout checks (tables/figures formatting recommendations),

·      quality and consistency checks (terminology, style register).

Important: We do not rewrite your work. We provide an evaluative audit report. We do not alter your research findings.

Our audit reports are generated with the significant assistance of AI-powered analytical tools. All reports are reviewed for quality and relevance before delivery.

C) Digital Products (e.g., PPTX Templates)

Downloadable presentation templates delivered digitally via Shopify (including Shopify’s Digital Downloads app).

Templates are sold as a license to use, subject to Section 11 (Intellectual Property & Licensing).

All services are delivered digitally and remotely. There are no physical goods shipped. Standard service packages are delivered according to the description displayed. Custom projects may be scoped separately, potentially involving a tailored quote and additional terms.

We may subcontract or delegate parts of service delivery to vetted external specialists or partner providers. We remain responsible for overall delivery and quality.

4. Intake and Required Materials (Shopify Forms / Hulk Contact Form Builder / Custom Quote)

Clients provide necessary details via Shopify Forms or third-party applications such as Hulk Contact Form Builder (HulkApps by Shop Circle BH d.o.o.), which act as data processors under GDPR and their own privacy policies.

Marketing Communications:

  • Free Templates: By downloading free templates, your email address will be automatically added to our marketing mailing list to receive access to free resources, updates about our services, and occasional promotional communications.

  • Other Services/Forms: You may opt-in to receive marketing emails via a consent checkbox. You may withdraw consent at any time.

You may unsubscribe at any time via the Unsubscribe button in our emails

Delivery & Payment terms vary by service type:

Academic Paper Review & Audit: Upon form submission (including manuscript upload), you will be redirected to our secure checkout to complete your purchase. The audit report will be delivered electronically via email within 3–5 business days from payment confirmation. The client may receive follow-up questions or clarifications via email if required.

Research Synthesis & Strategic Frameworks: Upon form submission, Redactum will review your inputs and provide a custom quote and invoice via email. Services commence only after the client accepts the custom quote and completes payment. The estimated delivery time will be communicated via email along with the custom quote.

PPTX Templates (Standard): Standard templates are delivered automatically via digital download upon purchase completion.

PPTX Templates (Custom): For custom template requests, please use the Contact Form on our website. Upon receipt, we will review your requirements and follow up via email to discuss project scope, pricing, invoice, and delivery timeline. No automated quote is provided for custom template requests.

Accuracy: You agree to provide accurate, complete, and lawful information.

Right to use submissions: You grant us a limited license to use the submitted materials solely to perform the requested services.

5. Use of Third-Party Tools and Platforms (Including AI)

To deliver services efficiently and at a professional standard, we may use third-party tools and platforms such as: document editors, formatting tools, collaboration and file-transfer tools, AI-assisted applications and tools (e.g., large language model applications, language enhancement, summarization, structural analysis, or generation of evaluative reports).

Client files and the information contained within them may be processed within such tools strictly to perform the requested services, subject to reasonable security measures and confidentiality obligations. Where third-party providers act as independent controllers for limited purposes (e.g., platform security), their processing is governed by their own terms and policies. 

Where AI-assisted tools are used to process client-submitted documents (including manuscripts, academic papers or project files), such processing is limited to the purpose of delivering the requested service. Clients acknowledge and consent to this use by engaging our services. We apply reasonable care in selecting AI providers, but we do not control the internal data-handling practices of such third-party platforms beyond our configuration and use.

For Academic Paper Review & Audit services, AI-assisted tools play a central role in generating the evaluative audit report, and submitted manuscripts are processed through such applications solely for this purpose. Clients are advised that deliverables represent AI-assisted analysis. Clients must not submit manuscripts containing sensitive personal data of third parties.

By engaging our services, you acknowledge that the use of such platforms is an essential operational requirement and consent to the limited processing of your data through them as described in our Privacy Policy.

6. Payment Terms

By purchasing a service or digital product, you agree to the following:

·      Payment processing: Payments through our online store are processed via Shopify Payments and/or integrated third-party processors. We do not store full card details.

·      Pricing: for Academic Paper Review & Audit varies based on manuscript length (number of pages), as displayed at checkout. For Research Synthesis & Strategic Frameworks and custom PPTX Templates, pricing is communicated via a custom quote sent by email prior to payment.

·      Pricing and taxes: Prices are listed in your local currency unless stated otherwise and include VAT where required by law. You are responsible for any applicable taxes in your jurisdiction, where legally applicable. Since our store's currency is RON (Romanian national currency), the prices displayed in your currency are approximate. Your bank may apply its own exchange rate.

·      Order confirmation: After payment, you will receive confirmation and instructions for providing any additional materials if needed.

·      Custom projects: Payment milestones (deposit, milestones, or completion) may apply as stated in the quote or separate agreement.

·      Failed payments: If payment fails, the order may be canceled.

·      Currency conversion: Our store uses BUCKS Currency Converter PRO++ (developed by Helixo) to automatically display prices in your local currency based on your detected location. Displayed prices in non-RON currencies are approximate. Final charges are processed in RON. Actual conversion rates and any applicable fees are determined by Shopify Payments and/or your bank or card issuer

7. Cancellation and Refund Policy

Because our services are digital and frequently personalized, the following applies:

  • Before work begins: You may request cancellation for a refund, minus any non-recoverable payment processing fees (if applicable).

  • After work begins: Once service performance has started or digital content has been delivered, refunds are generally not available, except where required by law. Clients expressly request that performance begin immediately upon payment and acknowledge that the statutory right of withdrawal under EU consumer law may be waived once the service or digital product is delivered.

  • After delivery: Once deliverables have been sent, refunds are generally not available, except where required by mandatory law.

All digital products (including templates) and custom services are delivered electronically via email or secure link. Any limited remedies (e.g., minor corrections) are provided in lieu of a full refund, except where mandatory law requires otherwise.

8. No Returns for Digital Services and Digital Products

All products and services are digital. There are no physical items to return. Once a digital deliverable has been delivered or a digital download has been supplied, it cannot be “returned” in a traditional sense.

If an issue arises, you may contact us promptly so we can assess whether a limited correction is appropriate under Section 9.

9. Delivery and Limited Adjustments (Minor Corrections)

All deliverables are sent electronically via email or secure download.

Estimated timelines vary by service:

  • Academic Paper Review & Audit: 3–5 business days from payment confirmation via checkout and receipt of the uploaded manuscript.

  • Research Synthesis & Strategic Frameworks: Delivery timeline communicated via email with the custom quote. Timeline begins upon acceptance of quote and payment confirmation.

  • PPTX Templates (Standard): Delivered automatically upon purchase.

  • PPTX Templates (Custom): Delivery timeline agreed upon via email prior to payment.

No revisions policy: We do not provide iterative revisions.

Minor corrections: We may, at our discretion, make minor adjustments to address clear mistakes (formatting, citations, typos) without additional scope.

Scope changes: Any additional work beyond minor corrections requires a new custom quote and agreement.

10. Compliance, Prohibited Uses, and Client Responsibilities

You agree to:

· Provide accurate information and necessary materials in a timely manner (including via Shopify Forms where applicable).

· Strictly refrain from submitting sensitive personal data (as defined by GDPR), including but not limited to health information, official identification numbers (e.g., CNP, SSN), or sensitive political/religious data, unless specifically agreed upon in a separate written contract. Redactum Consulting SRL and its third-party processors (e.g., HulkApps) assume no liability for unauthorized sensitive data provided by the Client.

· Ensure you have the rights to share any materials you provide to us (text, figures, data, images, unpublished manuscripts, third-party content, etc.).

· Use deliverables lawfully and ethically and not in a way that violates third-party rights, confidentiality obligations, journal rules, university/institutional policies, or applicable rules/policies that apply to you.

· Ensure a lawful basis to share any third-party personal data contained in materials you provide.

Acknowledge that:

  • For Academic Paper Review & Audit: the estimated delivery is 3–5 business days from payment confirmation via checkout;

  • For Research Synthesis & Strategic Frameworks: delivery timelines will be communicated via email with the custom quote, and services commence only after acceptance of the quote and payment;

  • For PPTX Templates (Custom): delivery timelines are agreed upon via email prior to payment."

Understand that:

  • For Academic Paper Review & Audit: the manuscript must be uploaded via the intake form prior to checkout, and the audit report will be delivered via email within 3–5 business days;

  • For Research Synthesis & Strategic Frameworks: all required materials must be submitted via the intake form, and deliverables will be provided via email upon completion;

  • For PPTX Templates (Custom): project materials and requirements are discussed and agreed upon via email prior to commencement."

Prohibited uses

You must not use our services or deliverables to facilitate:

· unlawful activity, deception, fraud, or infringement of rights,

· plagiarism, academic dishonesty, or misrepresentation of authorship,

· violating institutional/journal submission rules,

· impersonation or false attribution,

· resale of deliverables where prohibited by these Terms.

10.1. Academic integrity (explicit)

Our services are limited to original synthesis, secondary research development, editorial/technical audit, and formatting expertise. You agree not to present our contributions in a manner that constitutes academic misconduct or violates any applicable integrity rules. We may refuse or cancel orders that present legal, ethical, or compliance risks.

We may request clarification of intended use where necessary and may refuse or cancel orders that present legal, ethical, or compliance risks.

Claiming ownership over our work, such as Research Synthesis & Strategic Frameworks, and/or using it for any purpose of being submitted by a student as their own intellectual property is strictly forbidden under Legea nr. 199/2023 privind învățământul superior (Law no. 199/2023 on Higher Education). This law prohibits buying, selling, or producing academic works for the purpose of being submitted by a student as their own intellectual property. We reserve the right to cancel any order suspected of violating these provisions to maintain the highest standards of academic ethics.

11. Intellectual Property, Licensing, and Attribution Rules

This section controls in case of any conflict with other wording.

11.1. Your materials

You retain ownership of materials you provide. You grant us a limited, non-exclusive license to use them only to perform the services.

11.2. Research Synthesis & Strategic Frameworks — Copyright retained by Redactum

Unless expressly agreed otherwise in writing, all copyrights and intellectual property rights in deliverables created by Redactum under Research Synthesis & Strategic Frameworks remain the sole property of Redactum.

You are granted a non-exclusive, worldwide, perpetual license to:

  • Use the deliverables for your internal, professional, or organizational purposes;

  • Share or redistribute the deliverables (e.g., internally within your organization or to collaborators/partners);

  • Republish the deliverables, provided attribution to Redactum is maintained where required.

You may not:

  • Resell the deliverables (as standalone products or as part of commercial offerings);

  • Claim authorship or represent the deliverables as your own original work;

  • Remove, falsify, or obscure attribution where it is required by context or law;

  • Register or assert any exclusive intellectual property rights over the deliverables.

Core rule: You may use and redistribute the materials, but you cannot claim authorship or ownership of Redactum-created content.

11.3. Academic Paper Review & Audit — No authorship transfer

For audit/review services, our output consists of evaluations, comments, checklists, and recommendations. You remain the sole author of your manuscript. Our feedback does not confer co-authorship, and we do not assume responsibility for the manuscript’s scientific claims, data quality, statistical validity, or acceptance decisions.

11.4. PPTX Templates — Use-only license (no resale/redistribution)

PPTX templates are licensed, not sold as transferable intellectual property.

You may:

·      download and use templates,

·      modify/customize templates for your own presentations or internal organizational use.

You may not:

·      resell, redistribute, or share templates as templates,

·      sublicense them,

·      include them in commercial template libraries/marketplaces,

·      offer them as standalone deliverables to third parties where the template itself is the product.

11.5. Our methods and know-how

We retain ownership of our tools, templates, processes, frameworks, and know-how used to create deliverables.

12. Confidentiality and Data Protection

We treat client materials as confidential and use them only to perform the requested services, except where disclosure is required by law or necessary to deliver the service through vetted providers (e.g., Zoho Mail, Shopify, secure file transfer, professional editing tools). Personal data is handled in accordance with our Privacy Policy, which forms part of this agreement. Where you provide third-party personal data, you confirm you have a lawful basis to share it with us.

Service intake and project data collection are managed through third-party applications integrated with our Shopify store, including Hulk Contact Form Builder (Shop Circle BH d.o.o.), which acts as a data processor for the materials and files you submit

Invoicing and accounting may be managed through third-party apps integrated with Shopify, including Order Printer Pro (Shop Circle Ltd.), which process personal data as necessary to generate fiscal documents and maintain legal records

Currency localization on our store is handled through BUCKS Currency Converter PRO++ (Helixo), which may process your IP address and geolocation data to determine and display your local currency. Helixo acts as a data processor for this purpose.

13. Limitation of Liability

To the maximum extent permitted by law:

Liability cap: Our total liability for any claim related to a service or digital product is limited to the amount you paid for the specific service/product giving rise to the claim.

No indirect damages: We are not liable for indirect, consequential, special, or punitive damages (including loss of profits, revenue, data, business opportunities, publication outcomes, or reputation), to the extent permitted by law.

No outcome guarantee: We do not guarantee specific outcomes (including journal acceptance, funding decisions, or commercial results), as results depend on your inputs, context, scientific quality of underlying research, and how you use deliverables.

Third-party platforms: We are not responsible for failures attributable to third-party platforms outside our control (e.g., Shopify, payment processors, Zoho Mail, Google and other email and delivery providers), subject to mandatory law.

Force majeure: We are not liable for delays or failure caused by force majeure events beyond our reasonable control.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of Romania. The competent courts of Romania shall have jurisdiction, unless mandatory consumer protection rules require otherwise. Where applicable, EU consumers may also have rights to bring claims in their country of residence under mandatory EU rules.

15. Changes to These Terms of Service

We may update these Terms at any time by posting an updated version on our website and changing the “Last updated” date. Changes apply from the time of posting, unless otherwise required by law. For services already purchased, the Terms in effect at the time of purchase generally apply, unless a change is legally required.

16. Acceptance and Contact

By purchasing our services or using our website, you confirm you have read, understood, and agree to these Terms and our Privacy Policy. If you purchase on behalf of an entity, you represent you have authority to bind that entity.
